Terms of Service

1. Acceptance of Terms

By accessing or using Verit Analytics ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including those who register directly or via single sign-on (SSO) through Google or Microsoft.

2. Description of Service

Verit Analytics provides a cloud-based supply chain demand forecasting platform that enables users to upload sales and inventory data, generate statistical and machine-learning forecasts, manage SKUs and locations, receive inventory alerts, and generate purchase order recommendations. The Platform is offered as a software-as-a-service (SaaS) subscription.

3. User Accounts & Registration

3.1 You must provide accurate, current, and complete information during registration and keep your account information up to date.

3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at hello@veritanalytics.com of any unauthorized use.

3.3 You may not create accounts by automated means or on behalf of someone without their authorization.

4. Subscription & Billing

4.1 The Platform is offered on a free and paid subscription basis. Paid plans are billed monthly or annually as selected during checkout.

4.2 All payments are processed securely through Razorpay, a PCI DSS Level 1 compliant payment gateway. We do not store full payment card details on our servers.

4.3 Subscriptions auto-renew unless cancelled before the renewal date. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.

4.4 Fees are non-refundable except as expressly stated in our refund policy or as required by applicable law.

5. Data Ownership & License

5.1 You retain all ownership rights to the data you upload, including sales history, inventory records, supplier information, and product lists ("Customer Data").

5.2 You grant Verit Analytics a non-exclusive, worldwide, royalty-free license to access, use, process, and store your Customer Data for the sole purpose of providing and improving the Platform (e.g., generating forecasts, alerts, and recommendations).

5.3 This license terminates when you delete your data or close your account, subject to technical retention in backups for up to 90 days.

6. Aggregated & Anonymized Data

We may use aggregated, anonymized data derived from Customer Data for product improvement, benchmarking, and research. This data cannot identify you or your business. If you opt out, we will exclude your data from aggregation — contact hello@veritanalytics.com.

7. Use Restrictions

You agree not to:

• • Use the Platform for any unlawful purpose or in violation of any applicable law.
• • Reverse engineer, decompile, or extract the source code of the Platform.
• • Upload data that contains malware, viruses, or harmful code.
• • Interfere with or disrupt the integrity or performance of the Platform.
• • Attempt to access another user's account or data without authorization.
• • Use the Platform to compete with Verit Analytics or provide the service as a competitive offering.

8. Intellectual Property

8.1 Verit Analytics owns all rights, title, and interest in the Platform, including its software, algorithms (including forecast models), branding, documentation, and user interface. This does not include your Customer Data.

8.2 Forecast outputs generated by the Platform are provided "as-is" and are intended as decision-support tools. They do not constitute professional advice.

9. Service Availability & Support

9.1 We strive for high availability but do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated when reasonably possible.

9.2 Technical support is provided via email during business hours (IST). Response times vary by plan.

10. Confidentiality

Both parties agree to hold each other's confidential information in confidence and not disclose it to third parties except as necessary to perform under these Terms or as required by law. This obligation survives termination of these Terms for three years.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, Verit Analytics and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to your use of the Platform.

11.2 Our total liability for any claim arising from these Terms or the Platform is limited to the amount you have paid us in the twelve (12) months preceding the claim.

11.3 Forecasts and recommendations are decision-support tools only. You are solely responsible for all business decisions made based on Platform outputs.

12. Indemnification

You agree to indemnify, defend, and hold harmless Verit Analytics, its officers, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms, your misuse of the Platform, or your Customer Data.

13. Termination

13.1 Either party may terminate these Terms at any time. You may terminate by deleting your account and ceasing use of the Platform.

13.2 We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within 14 days of notice, or if your use of the Platform poses a security risk.

13.3 Upon termination, your right to access the Platform ceases. We will delete your Customer Data within 90 days unless retained for legal compliance.

14. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be resolved in the courts of Bangalore, India. For users in the European Union, this does not affect your mandatory consumer protections.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or through the Platform. Continued use after the effective date of changes constitutes acceptance of the updated Terms.
